UK Confirmation Statement: Deadlines, Fees and How to File (CS01)

Every UK company must file a confirmation statement at least once a year. Here's what it covers, how to calculate your deadline and how to file it correctly.

UK Confirmation Statement: Deadlines, Fees and How to File (CS01)

The confirmation statement (form CS01) is a yearly declaration to Companies House that the information it holds about your company is correct. It's short, it's mandatory, and missing it is one of the fastest ways for a UK company to be struck off the register.

What the confirmation statement covers

You confirm, or update, the core facts about your company:

  • registered office address and registered email address;
  • directors and company secretary (if any);
  • people with significant control (PSCs);
  • shareholders and share capital, where they've changed;
  • SIC codes describing what the company does;
  • that the company's intended future activities are lawful.

It does not include financial information. That goes in your annual accounts, which are a separate filing with a separate deadline.

When is it due?

Your company has a review period of up to 12 months. For a new company it starts on the date of incorporation. You must file within 14 days after the end of the review period. You can file early at any time, which resets the next review period from that date.

Example: a company incorporated on 10 March 2026 has a review period ending 9 March 2027 and must file by 23 March 2027.

The quickest way to see your exact date is the company's page on Find and update company information. If we track your company, your client portal shows the days left and reminds you.

How much does it cost?

There is a Companies House fee each time you file, and it's charged once a year even if you file more than once. Fees change, so check the current amount on GOV.UK's Companies House fees page before you file.

The process at a glance.

How to file it online

  1. Sign in to the Companies House service with your company's authentication code (the six-character code posted to the registered office).
  2. Check the review date and confirm or change each section: officers, registered office, SIC codes, shareholders and PSCs.
  3. Confirm that the company's intended future activities are lawful.
  4. Pay the fee and submit.

Some changes, such as appointing a new director or changing the registered office, must be filed separately before the confirmation statement, using their own forms. The statement then confirms the updated position.

Identity verification and the confirmation statement

Under the Economic Crime and Corporate Transparency Act, directors and PSCs must verify their identity with Companies House. Existing directors are being asked to confirm their verification, typically around the time of the company's confirmation statement, so make sure everyone on the register has a personal code ready. Our director and PSC ID verification page explains the process.

What happens if you're late?

  • Failing to file is a criminal offence for the company and its directors.
  • Companies House can start the process to strike the company off the register.
  • Once a company is struck off it's dissolved: its bank and payment accounts can be frozen and any money left becomes the property of the Crown.

Unlike accounts, there's no automatic late-filing penalty for the confirmation statement, but the strike-off risk is far worse.

Common mistakes

  1. Confusing the confirmation statement with annual accounts. They're different filings.
  2. Forgetting to update shareholders after a share transfer.
  3. Leaving outdated SIC codes after the business has changed.
  4. Losing the authentication code. Request a new one in good time, as it's posted to the registered office.
  5. Using a registered office address that no longer receives post. See our guide to the Companies House default address.

Is the confirmation statement the same as annual accounts?
No. The confirmation statement confirms company details; annual accounts report your finances and have a different deadline.
What happens if I don't file it?
It's a criminal offence and Companies House can strike the company off the register, which dissolves it and can freeze its accounts.
Can I file early?
